KPS Terms and Conditions
Knockout Property Services
Standard Terms & Conditions
By accepting an estimate, authorizing the commencement of work, or issuing any payment, the Client explicitly agrees to be bound by the following terms and conditions with Knockout Property Services LLC (hereinafter referred to as KPS):
1. Hazardous Materials & Environmental Liability
KPS is not liable for the discovery, disturbance, presence, or exposure of mold, mildew, asbestos, lead paint, or any other hazardous or toxic substances during the course of work at the job site or residential property. If such substances are encountered, KPS reserves the right to halt work immediately until professional remediation is completed by a certified third party at the Client’s sole expense.
2. Water & Plumbing Liability
KPS assumes no liability for water leaks, moisture intrusion, or subsequent water damage that may occur during demolition, remodeling, or upon completion of the project, except in cases of proven gross negligence by KPS personnel. The Client is responsible for ensuring the property’s existing plumbing integrity prior to the commencement of work.
3. Hidden Utilities & Mechanical Lines
KPS is not responsible for accidental punctures, structural damage, or disruption to electrical wiring, plumbing pipes, gas lines, or HVAC mechanicals that are hidden behind walls, under subfloors, or within ceilings, particularly if they were installed contrary to standard building codes or lack proper protective shielding (such as steel nail plates). Repair of any improperly routed or undocumented utilities discovered during construction will be billed as an additional expense.
4. Unforeseen Site Conditions & Pre-Existing Deficiencies
Project estimates are based on visual inspection of accessible areas only. KPS is not responsible for latent or hidden defects, structural deficiencies, substandard framing, electrical/plumbing code violations, or rotten wood discovered during demolition or construction phases. Correcting these pre-existing deficiencies will require a separate, mutually agreed-upon Change Order.
5. Right to Stop Work (Non-Payment)
KPS strictly reserves the right to suspend all on-site operations, secure the job site, and withhold materials if any progress payment, milestone invoice, or final payment is not received according to the agreed-upon payment schedule. KPS is explicitly not liable for any project delays, scheduling conflicts, or consequential damages resulting from a payment-related work stoppage.
6. Right of Withdrawal
KPS reserves the right to completely withdraw from the project, cancel the contract, and retrieve its tools and uninstalled materials if unforeseen findings alter the original scope of work and mutual terms or pricing adjustments cannot be agreed upon, or if the working environment becomes unsafe, hostile, or uncooperative. In the event of a withdrawal, the Client will be invoiced and held responsible for all labor performed and materials purchased up to the date of withdrawal.
7. Change Orders
Any deviation, addition, or deletion from the scope of work detailed in the original estimate will be executed only upon written or digital authorization (including text messages, email correspondence, or digital signatures) from the Client. Change orders will clearly specify the additional material and labor costs, as well as any expected adjustments to the project completion timeline.
Acknowledgment & Acceptance
